Maatskappy-sekretariële dienste en wat ons bied

Om ‘n hefboom vir u tydsbesteding as ‘n entrepreneur te help verskaf,  wil ASL graag die take onderneem wat tradisioneel as rompslomp beskou word en verseker dat u besigheid voldoen aan die vereistes van verskeie vorme van wetgewing, om sodoende risiko te minimeer en waarde tot u besigheid toe te voeg.

Voldoening aan die vereistes van die Maatskappywet, No. 71 van 2008 (die Wet) is slegs een van die take wat u aan ons betroubare vakkundiges kan uitkontrakteer om te verseker dat u die nodige tyd en energie aan u besigheid bestee het en geesdriftig die waarde ontsluit het.

Ons het in ons vorige nuusbriewe (wat hier besigtig kan word) ‘n paar gedagtes met u gedeel met betrekking tot voldoening aan die vereistes van die Wet. Vandag fokus ons veral op hoe ons tot hulp kan wees.

Ons by ASL is ‘n dinamiese span betroubare, professionele persone wat in staat is om te adviseer en prakties die vereistes van die Maatskappywet in u besigheid te implementeer. Dit sluit take in soos:

  • Bystand met die registrasie van nuwe maatskappye
  • Byhou van aandeleregisters
  • Naamsverandering van u maatskappy
  • Uitreiking en oordrag van aandele aan nuwe aandeelhouers
  • Bystand met die bedanking  en aanstelling van direkteure
  • Wysiging van u maatskappy se jaareinde
  • Opstel en registrasie van u maatskappy se Akte van Inkorporasie
  • Opstel van ‘n aandeelhouersooreenkoms vir u maatskappy
  • Implementering van die vereiste stappe vir die terugkoop van aandele
  • Deregistrasie of likwidasie van maatskappye
  • Indien van jaarlikse opgawes by CIPC
  • Dividendverklarings en voorbereiding van alle ondersteunende dokumente
  • Voorbereiding van FICA-dokumente
  • Opstel van resolusies en byhou van notuleboeke
  • Raadpleging van die Maatskappywet en toepassing daarvan

Wat betref die byhou van notules en resolusies, verseker ons dat alles met betrekking tot die sekretariële aangeleenthede wat ons hanteer, op datum is. Sou u egter versoek dat ons help met die hou van notules van direksie- en aandeelhouersvergaderings of gewone maatskappy-aangeleenthede, doen ons dit graag en sal ons met u in verbinding tree ten einde ‘n koste-effektiewe en praktiese oplossing  te vind wat u maatskappy in staat sal stel om te voldoen aan die regulatoriese raamwerk wat in die Wet vervat is.

As deel van die sekretariële diens wat ons bied vra ons ‘n jaarlikse fooi vir die veilige bewaring van u sekretariële rekords. Hierdie fooi sluit lisensiefooie in vir die byhou van u maatskappy se aandeelhouersregisters in elektroniese formaat en ter nakoming van die vereistes van huidige wetgewing. Die fooi sluit egter nie die fooi vir die indiening van u maatskappy se jaarlikse opgawe in nie.

We have had a few discussions regarding compliance with the Act in our previous newsletters, which can be viewed here.  Today’s focus is about how we can help, more than anything else.

As mentioned, at ASL, we are a dynamic team of trusted professionals, being able to advise on and practically implement the provisions of the Companies Act in your business.  This would include tasks like:

  • Assisting with the registration of new companies
  • Keeping of share registers
  • Changing the name of your company
  • Issue and transfer of shares to new shareholders

  • Drafting and registration of the MOI of your company
  • Drafting of a shareholder’s agreement for your company
  • Implementing the required steps in the repurchase of shares
  • Deregistration or liquidation of companies
  • The submission of yearly annual returns at CIPC
  • Dividend declarations and preparation of all supporting documents
  • Preparation of FICA documents
  • Drafring of resolutions and keeping of the minute books

With regards to the keeping of minute books and resolutions, we ensure that all minutes relating to the secretarial matters that we process, are up to date.  Should you however require that we assist in keeping minutes of directors and shareholder’s meetings, or normal company matters, we will gladly assist and be in contact in order to find a cost effective and practical solution in order to have your company comply with the regulatory framework as contained in the Act.

As part of the secretarial service we offer, we charge per annum fee for the safekeeping of your secretarial records.  This fee includes the licence fees of keeping the share registers of your company in electronic form and compliant with the current legislation.  This fee does not however include the fee for filing of the annual return of your company.
